Buy-back of shares

Based on the "Public Invitation to Offer to Buy Back up to 40'000 Bearer Shares" which appeared on 14.3.1997, 69'361 bearer shares have been offered to EMS-CHEMIE HOLDING AG within the offer period. This excellent outcome results in a proportionate allocation quota of 57,67 %. Subject to approval by the annual general meeting of shareholders on 23.8.1997, the share capital will then be reduced by CHF 2'000'000.-- to CHF 28'000'000.--, now divided into 414'140 bearer shares of CHF 50.-- face value and 729'300 registered shares of CHF 10.-- face value. All shareholders offering to sell their shares will be notified personally of the allocation result and given details about how the share buy-back will proceed.
